'In a press release Monday, Monaco said it anticipates the deal to total $36
million, including the refinancing of $15 million in debt under SMC's credit
line. Monaco's sales totaled $902 million in 2000, while SMC had revenue of
nearly $191 million for the year. The boards of both companies approved the
deal, which is subject to customary conditions, including the tender of at
least 51% of the shares of SMC, Bend, Ore. SMC's Chairman, Mathew Perlot,
and SMC's Chief Executive, Curtis Lawler, who together hold about 70% of
SMC's 5.8 million outstanding shares, agreed to sell all of their shares in
the tender offer and have granted Monaco irrevocable proxies to vote their
SMC shares against any competing acquisition proposals. Monaco said
following the
close of the tender offer, the company would consummate a merger in which
any remaining SMC shareholders would receive in cash the same price per
share paid in the tender offer. Adding SMC's 3.9% share of the class A
motorhome retail market boosts Monaco's total class A market share to 20.6%.
For the year-to-date, the companies sold a combined total of 2,151 class A
units.
Monaco said while it plans to maintain the existing SMC brands, the company
is studying ways it can eliminate redundancies once the companies are
combined. Initially, Monaco said it will consolidate SMC's Safari
manufacturing operations in Harrisburg, Ore., with Monaco facilities in
nearby Coburg, Ore. Also, Monaco is evaluating SMC coach-making operations
in Hines, Ore. Monaco views the deal as a way to boost market share, expand
its dealer network and maximize return on its facilities investment. "The
addition of SMC's product line enhances our position as the largest highline
motorhome producer and places us at the top of all class A motorhome
manufacturers," said Monaco Chairman and Chief Executive Kay Toolson in the
press release. Shares of Monaco ended regular Nasdaq trading Friday at
$26.21 a share, down $1.19, or 4.3%. Company Web sites:

Of all the people I talk to over the years Monaco was rated just
a wee step above Fleetwood. And now I am a part of this???
Guess I will just travel in my Renegade '00 at night. Tongue
in cheek of course. It may prove interesting though.

Funny, I've always thought the opposite. I have toured
both plants and the Monaco seemed more impressive. At
least relative to a quality control program which of
course a lot of people will agree that Safri doesn't
have.

Anyway I still plan to buy a new Beaver after I
eventually sell my 94 Trek.

'I for one would certainly be cautious when it comes to buying another SMC
product. You best wait a year or two and see if Monaco truly keeps the SMC
line and supplies its older products with inventory. As it is these SMC's
seem to be a hodge podge of parts similar to the old car line of American
Motors. And we all know what happened to them. RG

If Monaco does what Kay Toolson said in the telecast we'll be OK. I
don't think that Monaco is interested in scrapping a solid 3% market
share that they can build into. We were in Eugene in May and heard
all the rumors then took the Monaco and SMC tours. I've been thru a
few factories and had Fleetwood, Thor and Natl RV as customer before
I retired and I can tell you all that Monaco and SMC are head and
shoulders above the others I've seen. I understand that Matt Perlot
isn't well and I can understand his desire to get out of the
business. I am happy that there was a buyout instead of a bankruptcy
which would have left us as "homeless" orphans not just orphans.
Those interested in listening to the audio webcast from Monaco go
to Monaco.com and look for it on their home page. It's a bit long and
a little boring (all that financial legalese) but there's a plan for
Safari in there too. One big idea I heard was turning the Safari
plant at Harrisburg into a super service center for all Monaco/HR/
Safari products. Beats the (bleep) outta that service operation in
Harrisburg!!!

Ron when I went to www.monaco.com I got a fire and security
alarm systems company. It had nothing to do with MH's. Am I
missing something here?
